本条款说明您访问、注册、购买或使用算立方 MAXCUBE 装箱优化服务时,您与本平台之间的主要权利义务。

1. 条款接受

欢迎使用算立方 MAXCUBE(以下简称“本平台”或“我们”)。当您访问本网站、注册账号、提交装箱数据、生成装箱方案、购买套餐、使用 API 或企业服务时,即表示您已阅读、理解并同意遵守本服务条款及本平台发布的相关规则。

如您代表公司、组织或其他法律主体使用本平台,您确认自己有权代表该主体接受本条款。若您不同意本条款,请停止访问或使用本平台服务。

2. 服务内容

本平台提供基于算法和可视化能力的装箱规划辅助服务,包括但不限于货物清单录入、容器/车辆/托盘配置、装载规则设置、装箱方案计算、3D 可视化展示、装箱指南导出、历史记录、套餐额度、企业方案咨询及 API 对接等功能。

我们会持续改进服务能力,并可能根据产品规划、运营需求、技术条件或法律法规要求,对功能、交互、套餐、额度、计费方式、服务入口或支持方式进行调整。

3. 账号注册与安全

您应提供真实、准确、完整且可联系的注册信息,并在信息发生变化时及时更新。因信息不真实、不准确或未及时更新导致的服务受限、通知无法送达、订单或发票处理异常,由您自行承担相应后果。

您应妥善保管账号、密码、验证码、API Key、登录设备及其他身份凭证。通过您的账号发生的操作视为您或您授权人员的操作。若发现账号被盗用、异常登录或未经授权使用,请及时联系我们处理。

4. 用户数据与输入责任

您应确保提交的货物尺寸、重量、数量、装载方向、堆叠限制、支撑要求、容器/车辆参数及其他业务规则真实、准确、完整,并符合您的业务场景。装箱计算结果高度依赖输入数据和规则配置;输入错误、单位混淆、规格遗漏或业务约束不完整,均可能导致方案不适用于实际作业。

您不得上传违法、侵权、恶意、含病毒或与装箱规划无关的数据。对于您提交的数据、配置、文件、接口调用及由此产生的结果,您应自行承担合法性、准确性和业务适用性责任。

5. 装箱方案仅为参考建议

本平台生成的装箱方案、3D 视图、装箱顺序、装箱指南、利用率统计及相关分析,仅为基于您提交数据、规则配置和算法模型计算得出的规划参考建议,不构成对实际装箱结果、运输安全、货物完好、装载合法合规、仓库执行效率或商业收益的承诺或保证。

实际装箱作业可能受到现场人员操作、包装强度、货物重心、绑扎加固、设备能力、地面环境、容器或车辆状态、仓库流程、承运人要求、海关/港口/公路/铁路/航空等规则以及其他不可预见因素影响。您应在实际执行前,由具备相应经验和资质的人员结合现场条件、行业规范和安全要求,对方案进行复核、调整和确认。

本平台不参与您的实际装箱、搬运、堆叠、绑扎、运输、仓储或交付行为,也不控制现场作业人员的具体操作。您理解并同意,是否采纳、如何调整以及如何执行装箱方案,由您或您的现场作业团队自行决定。因使用、参考、误用、无法使用本平台生成的装箱方案,或因实际装箱、运输、仓储、交付过程中发生的货损、短装、超重、倾倒、延误、罚款、索赔、利润损失、业务中断、人身或财产损害等问题和损失,除法律强制规定或双方另有书面约定外,本平台不承担责任。

6. 购买、套餐与不退款规则

本平台的付费套餐、计算额度、增值功能、企业服务、API 服务及其他数字化服务,属于在线虚拟产品或数字服务。您应在购买前确认套餐内容、额度、适用范围、计费周期、开通账号、发票信息及自身业务需求。

除法律法规强制规定、页面另有明确说明、双方另有书面约定或经我们确认属于本平台重大服务异常导致您无法获得已购买服务外,一旦订单支付成功且套餐、额度、权限、企业服务或相关数字权益已激活、开通或开始使用,原则上不支持退款。

如您认为订单存在重复支付、错误开通、支付异常或其他需要协助核查的情况,请及时通过本平台公布的联系方式联系我们,我们会根据订单状态、使用记录、支付记录和适用规则进行处理。

7. 合理使用与禁止行为

您应以合法、正当、必要的方式使用本平台,不得实施以下行为:

  • 绕过套餐额度、权限控制、访问控制、风控机制或计费规则。
  • 对本平台进行反向工程、反编译、爬取、批量抓取、压测、攻击或干扰。
  • 上传恶意代码、异常请求、虚假数据或可能破坏系统稳定性的内容。
  • 未经授权转售、出租、共享账号、共享 API Key 或以本平台能力向第三方提供竞争性服务。
  • 侵犯他人知识产权、商业秘密、隐私权或其他合法权益。
  • 违反法律法规、监管要求、承运规则或行业安全规范的其他行为。

若我们发现您存在上述行为,有权根据情况采取限制功能、暂停计算、冻结账号、终止服务、删除违法违规内容、保留证据并依法追究责任等措施。

8. 服务可用性与变更

我们会尽力保障服务连续、稳定和安全,但互联网服务可能受到网络、设备、浏览器、第三方服务、服务器维护、系统升级、不可抗力或安全事件等因素影响。我们不承诺服务不会中断、延迟、错误或完全满足您的所有特定业务需求。

为维护系统安全、提升服务质量或适应业务发展,我们可能进行停机维护、功能调整、版本升级、接口变更、套餐调整或服务迁移。我们会尽合理努力通过网站、站内通知或其他方式提示重大变化。

9. 知识产权

本平台的软件、算法、界面、交互、页面设计、图标、文案、商标、服务名称、数据结构、接口文档及相关技术成果,除另有说明外,均归本平台或相关权利人所有。未经许可,您不得复制、修改、传播、出售、出租、反向工程或用于开发竞争性产品。

您对自己提交的货物数据、业务规则、公司资料和其他合法内容保留相应权利。您授权我们在提供服务、生成方案、保存记录、故障排查、安全审计、服务优化和客户支持所必需的范围内处理这些内容。

10. 第三方服务

本平台可能接入短信、邮件、支付、云服务、地图、统计分析、浏览器能力或其他第三方服务。第三方服务由相应第三方负责提供,其服务条款、隐私规则和可用性可能与本平台不同。因第三方服务异常、政策调整或不可用导致的影响,我们会尽力协助处理,但不对第三方服务本身承担超出法律规定的责任。

11. 责任限制

在法律允许的最大范围内,本平台按“现状”和“可用”基础提供服务,不对服务的连续性、完全准确性、绝对安全性、特定目的适用性、商业收益或第三方合规结果作出明示或默示保证。

除法律强制规定外,我们不对任何间接损失、附带损失、特殊损失、惩罚性损失、商誉损失、利润损失、业务中断、数据丢失、货物损坏、运输延误、第三方索赔或实际装箱/运输作业损失承担责任。

如依法需要承担责任,我们对您因使用本平台服务产生的全部责任总额,以您就引发责任的相关服务在事发前十二个月内实际向本平台支付的服务费用为上限;若您未支付费用,则以人民币一百元为上限。法律另有强制规定的,从其规定。

12. 条款更新

我们可能根据产品、业务、法律法规或运营需要更新本服务条款。更新后的条款将在本页面发布,并自发布或页面说明的生效日期起生效。若重大变更明显影响您的权利义务,我们会尽合理努力通过网站公告、站内通知或其他方式提示。

条款更新后,您继续使用本平台服务,即视为接受更新后的条款。

13. 法律适用与争议解决

本条款的订立、效力、解释、履行和争议解决,适用中华人民共和国法律(不包括冲突法规则)。因本条款或本平台服务产生的争议,双方应先友好协商;协商不成的,任何一方可依法向有管辖权的人民法院提起诉讼。

These Terms describe the main rights and obligations between you and MAXCUBE when you access, register for, purchase, or use our load optimization services.

1. Acceptance of Terms

Welcome to MAXCUBE (the "Platform", "we", "us", or "our"). By accessing this website, creating an account, submitting loading data, generating a load plan, purchasing a plan, using the API, or using enterprise services, you confirm that you have read, understood, and agree to these Terms of Service and the related rules published by the Platform.

If you use the Platform on behalf of a company, organization, or other legal entity, you confirm that you have authority to accept these Terms on behalf of that entity. If you do not agree to these Terms, please stop accessing or using the Platform.

2. Services

The Platform provides algorithm-based and visualization-based load planning assistance, including cargo list entry, container/truck/pallet configuration, loading rule settings, load plan computation, 3D visualization, PDF loading guide export, history records, subscription quotas, enterprise solution consulting, and API integration.

We may continue improving the services and may adjust features, interfaces, plans, quotas, pricing, service entrances, or support methods based on product planning, operational needs, technical conditions, or legal requirements.

3. Account Registration and Security

You should provide true, accurate, complete, and reachable registration information, and update it promptly when it changes. If inaccurate or outdated information causes service restrictions, failed notices, order issues, or invoice processing issues, you are responsible for the resulting consequences.

You are responsible for keeping your account, password, verification codes, API keys, devices, and other credentials secure. Actions performed through your account are deemed to be performed by you or your authorized personnel. If you discover unauthorized access or abnormal use, please contact us promptly.

4. User Data and Input Responsibility

You are responsible for ensuring that cargo dimensions, weight, quantity, orientation, stacking limits, support requirements, container/truck parameters, and other business rules submitted to the Platform are accurate, complete, and suitable for your scenario. Load planning results are highly dependent on input data and rule configuration. Incorrect input, unit confusion, missing specifications, or incomplete constraints may cause a plan to be unsuitable for real operations.

You must not upload unlawful, infringing, malicious, virus-containing, or irrelevant data. You are responsible for the legality, accuracy, and business suitability of your data, configurations, files, API calls, and resulting outputs.

5. Load Plans Are Reference Suggestions Only

Load plans, 3D views, loading sequences, loading guides, utilization statistics, and related analyses generated by the Platform are planning reference suggestions based on the data, constraints, and algorithm models available at the time of computation. They do not constitute a guarantee or commitment regarding actual loading results, transportation safety, cargo integrity, legal compliance, warehouse execution efficiency, or commercial outcomes.

Actual loading operations may be affected by on-site personnel, packaging strength, cargo center of gravity, lashing and securing methods, equipment capabilities, floor conditions, container or vehicle conditions, warehouse workflows, carrier requirements, customs/port/road/rail/air rules, and other unforeseeable factors. Before execution, you should have qualified and experienced personnel review, adjust, and confirm the plan based on real site conditions, industry practices, and safety requirements.

The Platform does not participate in your actual loading, handling, stacking, securing, transportation, warehousing, or delivery, and does not control the actions of on-site workers. You understand and agree that whether to adopt, modify, or execute a load plan is decided by you or your on-site operations team. Except where required by mandatory law or agreed in writing, the Platform is not liable for cargo damage, shortages, overweight loading, collapse, delay, penalties, claims, lost profits, business interruption, personal injury, property damage, or other issues or losses arising from use of, reference to, misuse of, or inability to use a generated load plan, or from actual loading, transportation, warehousing, or delivery operations.

6. Purchases, Plans, and No-Refund Rule

Paid plans, compute quotas, premium features, enterprise services, API services, and other digital services provided by the Platform are online virtual products or digital services. Before purchase, you should confirm the plan content, quota, applicable scope, billing cycle, account to be activated, invoice information, and your business needs.

Except where required by mandatory law, expressly stated on the page, separately agreed in writing, or confirmed by us as a major Platform service failure that prevents you from receiving the purchased service, once an order is successfully paid and the plan, quota, permission, enterprise service, or digital entitlement has been activated, opened, or started to be used, refunds are generally not supported.

If you believe there is a duplicate payment, incorrect activation, payment anomaly, or other issue requiring review, please contact us promptly. We will handle it based on order status, usage records, payment records, and applicable rules.

7. Acceptable Use and Prohibited Conduct

You must use the Platform lawfully, properly, and reasonably. You must not:

  • Bypass plan quotas, permission controls, access controls, risk controls, or billing rules.
  • Reverse engineer, decompile, scrape, batch crawl, stress test, attack, or interfere with the Platform.
  • Upload malicious code, abnormal requests, false data, or content that may harm system stability.
  • Resell, rent, share accounts, share API keys, or use Platform capabilities to provide competing services without authorization.
  • Infringe intellectual property rights, trade secrets, privacy rights, or other lawful rights of others.
  • Engage in any conduct that violates laws, regulations, regulatory requirements, carrier rules, or industry safety practices.

If we identify such conduct, we may restrict features, suspend computation, freeze accounts, terminate services, remove unlawful content, preserve evidence, and pursue liability according to law.

8. Availability and Changes

We will make reasonable efforts to keep the services continuous, stable, and secure. However, internet services may be affected by networks, devices, browsers, third-party services, server maintenance, system upgrades, force majeure, or security incidents. We do not guarantee that the services will be uninterrupted, delay-free, error-free, or fully satisfy every specific business requirement.

To maintain security, improve service quality, or support business development, we may perform maintenance, adjust functions, upgrade versions, change interfaces, adjust plans, or migrate services. We will use reasonable efforts to notify users of material changes through the website, in-app notices, or other methods.

9. Intellectual Property

The Platform software, algorithms, interfaces, interactions, page designs, icons, copy, trademarks, service names, data structures, API documents, and related technical achievements belong to the Platform or relevant rights holders unless otherwise stated. Without authorization, you may not copy, modify, distribute, sell, rent, reverse engineer, or use them to develop competing products.

You retain rights to your lawful cargo data, business rules, company information, and other submitted content. You authorize us to process such content as necessary to provide services, generate plans, save records, troubleshoot issues, conduct security audits, improve services, and provide customer support.

10. Third-Party Services

The Platform may integrate SMS, email, payment, cloud, map, analytics, browser, or other third-party services. Such services are provided by their respective providers, and their terms, privacy rules, and availability may differ from ours. We will make reasonable efforts to assist with issues caused by third-party service anomalies or policy changes, but we are not responsible for third-party services beyond what is required by law.

11. Limitation of Liability

To the maximum extent permitted by law, the Platform is provided on an "as is" and "as available" basis. We make no express or implied warranties regarding continuity, complete accuracy, absolute security, fitness for a particular purpose, commercial results, or third-party compliance outcomes.

Except where required by mandatory law, we are not liable for indirect, incidental, special, punitive, goodwill, profit, business interruption, data loss, cargo damage, transportation delay, third-party claim, or actual loading/transportation operation losses.

If liability must be assumed under applicable law, our total liability for all claims arising from your use of the Platform is limited to the amount you actually paid to the Platform for the relevant service during the twelve months before the event giving rise to liability. If you paid no fees, the limit is RMB 100, unless mandatory law provides otherwise.

12. Updates to These Terms

We may update these Terms based on product, business, legal, or operational needs. Updated Terms will be posted on this page and take effect from the publication date or the effective date stated on the page. For material changes that significantly affect your rights or obligations, we will use reasonable efforts to notify you through website announcements, in-app notices, or other methods.

Your continued use of the Platform after the update means you accept the updated Terms.

13. Governing Law and Dispute Resolution

The formation, validity, interpretation, performance, and dispute resolution of these Terms are governed by the laws of the People's Republic of China, excluding conflict-of-law rules. Any dispute arising from these Terms or Platform services should first be resolved through friendly negotiation. If negotiation fails, either party may bring a lawsuit before a court with proper jurisdiction.
